Terms of Service

1. Service Description

Freshbase is a B2B SaaS platform that processes meeting transcriptions and generates structured technical documentation, including but not limited to user stories, acceptance criteria (BDD scenarios), architectural decision records (ADRs), and tasks. The Service uses artificial intelligence to analyze meeting content and produce these outputs.

2. Account Terms

2.1 Eligibility

You must be at least 18 years old and have the authority to bind your organization to these Terms. By creating an account, you represent that you meet these requirements.

2.2 Account Responsibility

• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access or security breach.
• One person or bot may not maintain more than one account.

2.3 Organization Accounts

If you create an account on behalf of an organization (a "Workspace"), you represent that you have the authority to bind that organization. The organization is responsible for all users within the Workspace.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any laws
• Upload or process content that you do not have the right to use
• Attempt to reverse engineer, decompile, or extract the underlying AI models, prompts, or algorithms
• Interfere with or disrupt the Service or its infrastructure
• Circumvent usage limits, rate limits, or access controls
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to build a competing product or service
• Submit content containing malware, viruses, or harmful code
• Scrape, crawl, or use automated means to access the Service beyond provided APIs
• Share account credentials with unauthorized users

We reserve the right to suspend or terminate accounts that violate these terms.

4. Content Ownership and Intellectual Property

4.1 Your Content

You retain all ownership rights to your content. This includes meeting transcriptions and audio you provide, any text, data, or materials you upload to the Service, and edits and modifications you make to generated outputs.

You grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

4.2 Generated Outputs

Documentation and outputs generated by the Service based on your content are considered your property. You may use, modify, distribute, and incorporate generated outputs into your work without restriction.

4.3 Our Intellectual Property

We retain all rights to the Service itself, including its software, algorithms, prompts, user interface, and design; our trademarks, logos, and branding; aggregated, anonymized analytics; and improvements inspired by general usage patterns.

4.4 Feedback

If you provide suggestions, feature requests, or other feedback, we may use it to improve the Service without obligation or compensation to you.

5. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate documentation from meeting content. You acknowledge that:

• AI outputs may contain errors, omissions, or inaccuracies. You are responsible for reviewing and validating all generated content before use.
• Generated outputs should not be treated as legal, financial, medical, or professional advice.
• We do not guarantee that outputs will be complete, accurate, or suitable for any particular purpose.
• The quality of outputs depends on the quality and clarity of input content.
• You are solely responsible for any decisions or actions taken based on generated outputs.

6. Payment and Billing

6.1 Pricing

The Service is offered under subscription plans as described on our pricing page. Prices are subject to change with 30 days' prior notice.

6.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as required by law or as explicitly stated in these Terms.
• You are responsible for providing accurate billing information.

6.3 Free Tier / Trial

We may offer free tiers or trial periods at our discretion. We reserve the right to modify or discontinue free offerings at any time.

6.4 Taxes

You are responsible for any applicable taxes. If we are required to collect taxes, they will be added to your invoice.

7. Service Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, or circumstances beyond our reasonable control.

We may modify, update, or discontinue features at any time with at least 30 days' notice for material changes. Support is provided via email and in-app channels.

8. Data Processing

For organizations that require a Data Processing Agreement (DPA), please contact us at admin@getfreshbase.com. Your use of the Service is also governed by our Privacy Policy.

You are responsible for obtaining necessary consents from meeting participants, ensuring compliance with data protection laws, and not uploading content that violates third-party privacy rights.

9. Confidentiality

We treat your meeting content and generated outputs as confidential information. We will not disclose your content to third parties except as necessary to provide the Service, with your explicit consent, or as required by law.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your violation of these Terms, your use of the Service, content you upload, or your violation of any third-party rights.

12. Termination

You may cancel your subscription at any time. We may suspend or terminate your account for Terms violations, overdue payment (15+ days), legal requirements, or if continued provision becomes impracticable.

Upon termination, your data will be available for export for 30 days. Sections 4, 5, 10, 11, and 13 survive termination.

13. General Provisions

These Terms are governed by the laws of the Federative Republic of Brazil. Disputes shall be resolved in the courts of São Paulo, São Paulo, Brazil. Both parties agree to attempt good-faith negotiation for 30 days before legal proceedings.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Freshbase regarding the Service.
